Non-Disclosure Agreement

This Non-Disclosure Agreement ("Agreement") is entered into on the day you are signing it, by and between Seashore Agency ("Disclosing Party"), a public relations agency based in Nova Scotia, and the user ("Receiving Party").



1. Purpose

The Disclosing Party operates a proprietary platform known as the Seashore PR Portal (the “Portal”), which provides access to publication opportunities, pricing details, and related services. The Receiving Party acknowledges that as part of their access to the Portal, they may gain access to confidential and sensitive information, including but not limited to pricing of publications (collectively referred to as "Confidential Information").

This Agreement is intended to protect the confidentiality of such information and prevent its unauthorized disclosure or misuse.

2. Definition of Confidential Information

For purposes of this Agreement, “Confidential Information” shall include, without limitation:

  • (a) Pricing details and structures for all publications and related services available on the Portal;
  • (b) Terms, conditions, or agreements related to the services provided through the Portal; and
  • (c) Any other non-public information designated as confidential by the Disclosing Party.

Confidential Information does not include information that:

  • (i) Was publicly available at the time of disclosure;
  • (ii) Becomes publicly available without the Receiving Party’s breach of this Agreement;
  • (iii) Was known to the Receiving Party prior to disclosure by the Disclosing Party; or
  • (iv) Is independently developed by the Receiving Party without reliance on the Disclosing Party’s Confidential Information.

3. Obligations of the Receiving Party

The Receiving Party agrees to:

  • (a) Maintain the confidentiality of all Confidential Information disclosed under this Agreement and to exercise the same degree of care as it uses to protect its own confidential information, but no less than a reasonable degree of care;
  • (b) Not disclose, publish, or otherwise disseminate any Confidential Information to any third party without the prior written consent of the Disclosing Party;
  • (c) Use the Confidential Information solely for the purposes permitted by the Disclosing Party in connection with the Portal; and
  • (d) Promptly notify the Disclosing Party of any unauthorized use or disclosure of Confidential Information of which the Receiving Party becomes aware.

4. Term and Termination

This Agreement shall remain in effect for as long as the Receiving Party has access to the Portal and for a period of two (2) years following the termination of such access. Upon termination of access, the Receiving Party agrees to return or destroy all Confidential Information in their possession, as directed by the Disclosing Party.

5. Remedies

The Receiving Party acknowledges that unauthorized disclosure of Confidential Information may cause irreparable harm to the Disclosing Party, for which monetary damages may be inadequate. Therefore, the Disclosing Party shall have the right to seek injunctive or equitable relief in addition to any other remedies available at law or in equity.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Nova Scotia, without regard to its conflict of laws principles.

7. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the subject matter herein and supersedes all prior agreements, understandings, or representations.

8. Acknowledgment

By agreeing to this Agreement, you automatically acknowledge and accept its terms, thereby signifying your commitment to comply with all provisions outlined above. No separate signature is required.
